Course objectives

To introduce students to basic concepts and legal regulations in the field of commercial law, i.e. basic concepts and institutes of commercial and contract law and noncontractual obligations.

Course outcomes

  • Identify all known forms of business structures from the aspect of founding and association
  • Recommend the procedure for founding a company of a person and a capital company with all the conditions (elements, bodies, aspects of authority and registration procedure)
  • Select models of governance and powers of governing bodies within an established business organization
  • Establish and apply the principles and provisions of law of obligations
  • Establish the prerequisites for the validity of the contract, legal and business ability, place and time of contract conclusion, contract enhancement means
  • Recommend the contents of a contract of purchase, rent, lease, exchange, concession, construction, commission, license, loan, legacy
 

Course content

Introduction to law. Scope and definition of commercial law. Commercial status law: trader, business organization, merchant and trader individual. Presociety. Branch office. Company. The headquarters of the company. Subject of business of the company. Representation of a company. Procurement. Court register and commercial court. Public company. Command company. Joint stock company. A limited liability company. Economic interest association. Status changes in a society. Partnership. Secret society. Commercial contract law: obligatory relationships. Legal and business ability. Types of obligations. Changes in obligatory relationships. Enhancement of the legal relationship. Concept of a contract. Prerequisites for conclusion of the contract. Irregularity of the contract. Termination of obligations. The statute of limitations. Purchase, replacement, loan, , rent, lease, buying, work, construction, remnants, storage, order, , commission, trade representation, brokerage, commission agreement, a contract for carriage of things, a contract of dispatch, bank contracts, organizations. Noncontractual obligations: concept and assumptions. Causing damage. Acquisition without base. Management without orders. A public promise of awards. Securities.
